根据《中华人民共和国证券法》（以下简称“《证券法》”）、《中华人民共和国
公司法》（以下简称“《公司法》”）和中国证券监督管理委员会《上市公司股东会规
则（2025 修订）》（以下简称“《股东会规则》”）等法律、法规和其他有关规范性
文件的要求，北京大成（珠海）律师事务所（以下简称“本所”）接受珠海恒基达鑫国
际化工仓储股份有限公司（以下简称“公司”）的委托，指派律师参加公司 2026 年第
一次临时股东会（以下简称“本次股东会”）。
本所声明：本所律师仅对本次股东会的召集程序、召开程序、出席会议人员资格、
召集人资格、表决程序及表决结果发表法律意见，并不对本次股东会所审议的议案、议
案所涉及的数字及内容发表意见。本所律师同意将本法律意见书随本次股东会其他信息
披露资料一并公告。
本法律意见书仅供见证公司本次股东会相关事项的合法性之目的使用，不得用作任

一、本次股东会的召集、召开的程序
（一）本次股东会的召集程序
本次股东会由董事会提议并召集。2025 年 12 月 28 日，公司召开第六届董事会第
十九次会议，审议通过了《关于召开 2026 年第一次临时股东会的议案》。
召开本次股东会的通知及提案内容，公司于 2025 年 12 月 29 日在深圳证券交易所
官方网站、巨潮资讯网及《中国证券报》《证券时报》《证券日报》进行了公告。
（二）本次股东会的召开程序
本次股东会采取现场投票、网络投票相结合的方式召开。
厦十八楼会议室召开，由公司董事长主持本次股东会。
本次股东会网络投票时间为：2026 年 1 月 14 日。通过深圳证券交易所交易系统进
行网络投票的时间为 2026 年 1 月 14 日 9:15-9:25、9:30-11:30、13:00-15:00；通过深圳
证券交易所互联网投票系统投票的具体时间为 2026 年 1 月 14 日 9:15-15:00。
本所律师认为，本次股东会由董事会召集，会议召集人资格、会议的召集及召开程
序符合相关法律、行政法规和《珠海恒基达鑫国际化工仓储股份有限公司章程》（以下
简称“《公司章程》”）《珠海恒基达鑫国际化工仓储股份有限公司股东会议事规则》
（以下简称“《议事规则》”）的规定。
二、本次股东会的出席会议人员、召集人
（一）出席会议人员资格
根据《公司法》《证券法》《公司章程》《议事规则》及本次股东会的通知，本次
股东会的出席对象为：
责任公司深圳分公司登记在册的公司全体股东均有权出席股东会，并可以以书面形式委
托代理人出席会议和参加表决，该股东代理人不必是公司股东。

（二）会议出席情况
本次会议现场出席及网络出席的股东和股东代表共 106 人，代表股份 6,953,123 股，
占公司有表决权股份总数的 1.7234%。具体情况如下：
经公司董秘办及本所律师查验出席凭证，现场出席本次股东会的股东和股东代表共
经本所律师核查，出席会议的股东及股东代理人所代表的股东登记在册，股东代理
人所持有的《授权委托书》合法有效。
根据深圳证券信息有限公司提供的网络投票结果，通过网络投票的股东 103 人，代
表股份 6,857,073 股，占公司有表决权股份的 1.6996%。
出席本次会议的中小股东和股东代表共计 106 人，代表股份 6,953,123 股，占公司
有表决权股份的 1.7234%。其中现场出席 3 人，代表股份 96,050 股，占公司有表决权股
份总数的 0.0238%；通过网络投票 103 人，代表股份 6,857,073 股，占公司有表决权股
份总数的 1.6996%。
（三）会议召集人
本次股东会的召集人为公司董事会。
本所律师认为，出席本次股东会人员的资格合法有效（网络投票股东资格在其进行
网络投票时，由深交所网络投票系统进行认证）；出席会议股东代理人的资格符合有关
法律、行政法规及《公司章程》《议事规则》的规定，有权对本次股东会的议案进行审
议、表决。

三、本次股东会的会议提案、表决程序及表决结果
（一）本次股东会审议的提案
根据《关于召开 2026 年第一次临时股东会的通知》（以下简称“《股东会通知》”
），
提请本次股东会审议的提案为：
（1）审议《关于 2026 年度日常关联交易预计的议案》
席会议关联股东所持有的公司股份为 0 股，本议案出席会议有表决权股份总数为
上述议案已经公司董事会于《股东会通知》中列明并披露，本次股东会实际审议事
项与《股东会通知》内容相符。
（二）本次股东会的表决程序
经查验，本次股东会采取与会股东记名方式及其他股东网络投票方式就上述议案进
行了投票表决。会议按照法律、法规及《公司章程》《议事规则》规定的程序对现场表
决进行计票、监票，并根据深圳证券交易所交易系统及互联网提供的网络投票数据进行
网络表决计票；由会议主持人当场公布了现场表决结果；网络投票结束后，深圳证券信
息有限公司向公司提供了本次会议网络投票的表决总数和表决结果。
（三）本次股东会的表决结果
本次股东会列入会议议程的议案共 1 项，经合并网络投票及现场表决结果，本次股
东会审议议案表决结果如下：
