Announcement on the Resignation of the Chairman of the Board
The Company and all members of the Company¡¯s Board of Directors confirm that all
information disclosed herein is true, accurate and complete, with no false or misleading
statement or material omission.
I. Basic information of the Chairman¡¯s Resignation
The Board of Directors of ADAMA Ltd. (hereinafter referred to as the ¡°Board¡± and the
¡°Company¡±) recently received notice from Mr. Qin Hengde informing the Company of his
resignation as the Director, Chairman of the Board, and member of the Audit Committee of
the Board in light of work arrangements at Syngenta Group. His original term of office was
scheduled to expire upon the conclusion of the 10th Session of the Board.
Prior to the election and appointment of a new director by the Company¡¯s general meeting of
shareholders, Mr. Qin Hengde shall continue to perform his duties as Director and his
responsibilities on the Audit Committee in accordance with the relevant laws, administrative
regulations, and the Company¡¯s Articles of Association. Following his resignation, Mr. Qin
Hengde will cease to hold any position in the Company and its subsidiaries.
In accordance with the Company Law, the Company¡¯s Articles of Association and other
relevant laws and regulations, Mr. Qin Hengde¡¯s resignation will not result in the number of
members of the Board falling below the statutory minimum, and will not affect the normal
operation of the Board. The Board will complete the by-election of the new Director,
Chairman of the Board, and member of the Audit Committee of the Board as soon as
practicable.
As of the date of this announcement, Mr. Qin Hengde does not hold any Company shares, nor
are there any outstanding public commitments that have not been fulfilled, and nothing related
to his resignation needs to be brought to the attention of the Board and shareholders of the
Company. Mr. Qin Hengde has completed the handover of his duties in accordance with the
Company¡¯s Management Policy for the Departure of Board Members and Senior Executives.
The Board highly values and deeply appreciates the significant contribution Mr. Qin Hengde
made to the development of the Company during his tenure!
