Public Announcement on Electing Employee Representative Director
Jiangling Motors Corporation, Ltd. and the members of its Board of Directors
undertake that the information disclosed herein is truthful, accurate and
complete and does not contain any false statement, misrepresentation or major
omission.
Jiangling Motors Co., Ltd. (hereinafter referred to as ‘JMC’ or ‘the Company’)
convened its 2025 Second Special Shareholders’ Meeting on December 30, 2025, at
which the Proposal on Amendment to the Articles of Association of JMC (Year 2025)
was approved. Pursuant to the provisions of the amended Articles of Association of
JMC (hereinafter referred to as the ‘Articles of Association’), one Employee
Representative Director shall be appointed among the members of the Board of
Directors. The Employee Representative Director on the Board shall be
democratically elected by the Company's employees through the Employees'
Congress, Employees' Assembly, or other appropriate means.
Recently, the Company convened an employee congress, electing Mr. Liu Niansheng
as the Employee Representative Director for the Company's Eleventh Board of
Directors. His term shall commence on the date of election by the Employees’
Congress and conclude upon the expiry of the Eleventh Board of Directors' term. Mr.
Liu Niansheng complies with the qualifications promulgated in the provisions of the
Company Law of the People's Republic of China and the Articles of Association.
Following Mr. Liu Niansheng's election as an Employee Representative Director of
the Company, the combined number of Directors serving as senior management
personnel and those representing employees on the Board did not exceed half of the
total number of Directors, thereby complying with the requirements of relevant laws
and regulations.
Mr. Liu Niansheng’s Resume:
Mr. Liu Niansheng, born in 1967, holds a Bachelor’s Degree in Forging Technology
and Equipment from Jiangxi Industry University and Postgraduate degree in
Economics and Management from Renmin University of China. He currently holds
the positions of Chairman of the Trade Union at JMC. He has served as Deputy
Director of the Chassis Plant at JMC, Deputy County Governor of Boyang County in
Jiangxi Province, Deputy Director of the Manufacturing Department, Director of the
Chassis Plant, Director of the Transit Plant and Assistant President of JMC.
As of the disclosure date of this announcement, Mr. Liu Niansheng did not hold any
share of the Company. Mr. Liu Niansheng has no relationship with the Company, the
shareholders holding more than 5% of the shares of the Company and their actual
controllers, as well as other Directors and senior executives of the Company. Mr. Liu
Niansheng has not been punished by China Securities Regulatory Commission or
other relevant Departments or taken disciplinary action by the Stock Exchanges, and
has not been investigated by judicial organs for suspected crimes or by China
Securities Regulatory Commission on suspicion of violations of laws and regulations.
There is no situation on which he is prohibited to serve as an Employee
Representative Director of the Company as stipulated in the Company Law and the
Articles of Association of the Company. Mr. Liu Niansheng meets the qualifications
required in the laws, administrative regulations, departmental rules, normative
documents, Rules Governing Listing of Stock on Shenzhen Stock Exchange and the
Articles of Association of the Company. After the inquiry of "National Court
Information Disclosure and Inquiry Platform of Persons Subject to Enforcement for
Trust-breaking", Mr. Liu Niansheng does not belong to the person subject to
enforcement for trust-breaking.
