I. Convening of the Board Meeting
The notice of the first Session of 10th BOD was sent by fax on May 16, 2025.
The first Session of 10th BOD to be held on 23 May 2025 at 3:30 p.m. in the conference room 1004 of the
office building of Wafangdian Group by means of on-site conferencing.
Director Zhang Xinghai hold the meeting, who was nominated by more than half of the directors
Article of Association.

of the board of directors, the company agrees to appoint Mr.Li Huawei and Mr.Li Dong as deputy

Upon the recommendation of the chairman of the board of directors and the nomination of the
Nomination Committee of the Board of Directors, Ms.Sun Nana is nominated as the secretary of the
Board of Directors of the Company, whose term of office shall be from the date of approval by the
Board of Directors to the end of the term of the current board of directors.
The total number of directors who concurrently serve as senior management personnel of the
company and who are appointed by employee representatives shall not exceed half of the total
number of directors of the company.

Mr.Zhang Xinghai, born in October 1968, holds a university degree and is a senior accountant at the
researcher level. He started his career in July 1991. He has previously served as Deputy General
Manager and Board Secretary of Wafangdian Bearing Co., Ltd., and as Director, Chief Accountant,
and Board Secretary of Wafangdian Bearing Co., Ltd. Currently, he is the Deputy Party Secretary,
General Manager, and Director of Wafangdian Bearing Group Co., Ltd., and also serves as the
Chairman of our company.
Mr.Wang Jiuyuan was born in December 1966. He graduated from Liaoning University with a major
in Industrial Economics. He has served as Deputy Minister of Business Management, Minister of
Planning and Finance, Deputy General Manager, and Assistant General Manager of Wazhou Group
Corporation. Currently, he is a director of Wafangdian Bearing Group Co., Ltd., and a director and
general manager of our company.

Mr.Li Huawei , born in June 1974. He has a university degree and a master's degree, and is a senior
engineer. He started working in August 1996 and has served as deputy director, executive Deputy
Director and director of the Engineering Research Center of Wazhou Group, and vice chief engineer
of the group company. He is currently a director and deputy general manager of the company.
Mr.Li Dong, born in March 1978, is of Han ethnicity and holds a Master's degree in Engineering. He
joined the Communist Party of China in May 1999 and graduated from Liaoning Institute of
Technology with a Bachelor's degree in Foreign Trade in July 2000. He began his career in July 2000.
Mr.Li has held various positions including General Manager of the Import and Export Company at
Wazhou Co., Ltd., Assistant to the General Manager of Wazhou Co., Ltd., General Manager
(concurrent) of the Export Automotive Bearing Division, General Manager (concurrent) of the
High-End Automotive Bearing Co., Ltd. under Wazhou Group, Assistant to the General Manager of
Wazhou Group, Director (concurrent) of the Overseas Business Development Department, Director
(concurrent) of the Information Engineering Department, and Chief Information Officer of Wazhou
Group. Currently, he serves as a director of Wazhou Europe, a subsidiary of Wazhou Group,
chairman of KRW Company in Germany, director of JTEKT Wazhou, deputy general manager of the
company, and general manager of the International Business Division.

Ms.Sun Nana, born in October 1968, holds a university degree and a master's degree, and is a
senior accountant at the researcher level. She started her career in August 1990. She has previously
served as an accountant and head of the audit department at Wafangdian Bearing Group Co., Ltd.,
assistant general manager of the material supply company at Wazhou Shares Company, and
assistant general manager of the sales headquarters at Wazhou Shares Company. She also served
as a director and deputy chief accountant at Wafangdian Bearing Group Co., Ltd. Currently, she is
the chief accountant, director, and board secretary of Wazhou Shares Company.
