根据《中华人民共和国证券法》（以下简称《证券法》）、《中华人民共
和国公司法》（以下简称《公司法》）和中国证券监督管理委员会《上市公司
股东大会规则（2022 年修订）》（以下简称《股东大会规则》）等法律、法规
和其他有关规范性文件的要求，北京大成律师事务所（以下简称“本所”）接
受广州市浪奇实业股份有限公司（以下简称“公司”）的委托，指派律师参加
公司 2023 年第三次临时股东大会（以下简称“本次股东大会”）。
本所声明：本所律师仅对本次股东大会的召集程序、召开程序、出席会议
人员资格、召集人资格、表决程序及表决结果发表法律意见，并不对本次股东
大会所审议的议案、议案所涉及的数字及内容发表意见。本所律师同意将本法
律意见书随本次股东大会其他信息披露资料一并公告。
本法律意见书仅供见证公司本次股东大会相关事项的合法性之目的使用，
不得用作任何其他目的。
本所及经办律师依据《证券法》《律师事务所从事证券法律业务管理办法》
和《律师事务所证券法律业务执业规则（试行）》等规定及本法律意见书出具
日以前已经发生或者存在的事实，严格履行了法定职责，遵循了勤勉尽责和诚
实信用原则，进行了充分的核查验证，保证本法律意见所认定的事实真实、准
确、完整，所发表的结论性意见合法、准确，不存在虚假记载、误导性陈述或
者重大遗漏，并承担相应法律责任。
本所律师根据《股东大会规则》第五条的要求，按照律师行业公认的业务
标准、道德规范和勤勉尽责的精神，对本次股东大会所涉及的有关事项和相关
文件进行了必要的核查和验证，出席了本次股东大会，出具法律意见如下：

一、本次股东大会的召集、召开的程序
（一）本次股东大会的召集程序
本次股东大会由董事会提议并召集。2023 年 9 月 15 日，公司召开第十届董
事会第二十六次会议，审议通过了《关于召开 2023 年第三次临时股东大会的议
案》。
召开本次股东大会的通知及提案内容，公司于 2023 年 9 月 16 日在巨潮资
讯网、《中国证券报》、《证券时报》和《上海证券报》等中国证监会指定的
信息披露媒体进行了公告。
（二）本次股东大会的召开程序
本次股东大会采取现场投票、网络投票相结合的方式召开。
明街 87-93 号 201 室广州市浪奇实业股份有限公司 1 号会议室召开，由公司董
事长主持本次股东大会。
本次股东大会网络投票时间为：2023年10月9日。通过深圳证券交易所交易
系统投票平台进行 网络投票的 时间为2023年10 月9日9:15-9:25 ，9:30-11:30，
月9日9:15-15:00。
本所律师认为，本次股东大会由董事会召集，会议召集人资格、会议的召
集及召开程序符合相关法律、行政法规和《广州市浪奇实业股份有限公司章程》
（以下简称《公司章程》）、《广州市浪奇实业股份有限公司股东大会议事规
则》（以下简称《议事规则》）的规定。
二、本次股东大会的出席会议人员、召集人
（一）出席会议人员资格
根据《公司法》、《证券法》、《公司章程》、《议事规则》及本次股东
大会的通知，本次股东大会出席对象为：
有限责任公司深圳分公司登记在册的公司全体股东均有权出席股东大会，并可
以以书面形式委托代理人出席会议和参加表决，该股东代理人不必是公司股东。

（二）会议出席情况
本次会议现场出席及网络出席的股东和股东代表共43人，代表股份合计
经公司董事会办公室及本所律师查验出席凭证，现场出席本次股东大会的
股 东 和 股 东 代 表 共 3 人， 所 代 表 股 份共 计 490,778,771 股 ， 占 公司 总 股 份 的
经本所律师核查，出席会议的股东及股东代理人所代表的股东登记在册，
股东代理人所持有的《授权委托书》合法有效。
根据深圳证券信息有限公司提供的网络投票结果，通过网络投票的股东40
人，代表股份94,046,934股，占上市公司总股份的5.1239%。
出席本次会议的中小股东和股东代表共计42人，代表股份121,917,017股，
占公司总股份的6.6423%。其中现场出席2人，代表股份27,870,083股；通过网络
投票40人，代表股份94,046,934股。
（三）会议召集人
本次股东大会的召集人为公司董事会。
本所律师认为，出席本次股东大会人员的资格合法有效（网络投票股东资
格在其进行网络投票时，由深交所网络投票系统进行认证）；出席会议股东代
理人的资格符合有关法律、行政法规及《公司章程》、《议事规则》的规定，
有权对本次股东大会的议案进行审议、表决。
三、本次股东大会的会议提案、表决程序及表决结果
（一）本次股东大会审议的提案

根据《关于召开2023年第三次临时股东大会的通知》（以下简称《股东大
会通知》），提请本次股东大会审议的提案为：

上述第1项议案选举非独立董事，本次股东大会对五名非独立董事候选人采
取累积投票制实行差额选举。上述第2项议案选举独立董事，本次股东大会对三
名独立董事采取累积投票制选举，独立董事候选人的任职资格和独立性需经深
交所审查无异议，股东大会方可进行表决。上述第3项议案选举监事，采用累积
投票制选举。上述第4项议案为普通决议事项，需经出席本次股东大会的股东

（包括股东代理人）所持表决权过半数同意。上述第5项议案为特别决议事项，
需经出席本次股东大会的股东（包括股东代理人）所持表决权的三分之二以上
通过。
上述议案已经公司董事会于《股东大会通知》中列明并披露，本次股东大
会实际审议事项与《股东大会通知》内容相符。
（二）本次股东大会的表决程序
经查验，本次股东大会采取与会股东记名方式及其他股东网络投票方式就
上述议案进行了投票表决。会议按法律、法规及《公司章程》、《议事规则》
规定的程序对现场表决进行计票、监票，并根据深圳证券信息有限公司提供的
网络投票数据进行网络表决计票；由会议主持人当场公布了现场表决结果；网
络投票结束后，深圳证券信息有限公司向公司提供了本次会议网络投票的表决
总数和表决结果。
（三）本次股东大会的表决结果
本次股东大会列入会议议程的提案共五项，经合并网络投票及现场表决结
果，本次股东大会审议议案表决结果如下：

四、结论意见
综上所述，本所律师认为，本次股东大会的召集与召开程序符合法律、法
规、《股东大会规则》和《公司章程》、《议事规则》的规定；出席会议人员
的资格、召集人资格合法有效；会议表决程序、表决结果合法有效。
本法律意见书正本一式叁份，经本所律师签字并加盖公章后生效。
