Bingshan Technical Service (Dalian) Co., Ltd.
Dalian Refrigeration Co., Ltd. (the “Company”) and its whole members of Board of
Directors ensure that the public notice is real, accurate and complete, and there are
no any important omissions, fictitious statements or serious misleading carried in this
notice.
The 20th meeting of 6th session of the Board was held on 19 August 2015 by Dalian
Refrigeration Co., Ltd. (the “Company”), deliberated and approved the “Report on
purchasing the equity of Bingshan Technical Service (Dalian) Co., Ltd. (Bingshan
Service); The Company planned to purchase 40 percent equity of Bingshan Service
held by Dalian Bingshan Engineering & Trading Co., Ltd. with price of RMB 6.024
million. After the above mentioned equity transfer finished, the Company will hold
100 percent equity of Bingshan Service.

Currently, the Company was signed the Equity Transfer Agreement officially with
Dalian Bingshan Engineering & Trading Co., Ltd. And related industrial and
commercial registration has been completed.
