Dalian Refrigeration Co., Ltd. (the ¡°Company¡±) received the ¡°Reply of Approval for

the Non-Public Issuance of A Stocks by Dalian Refrigeration Co., Ltd. from CSRC on

December 31, 2015.(Zheng-jian-xu-ke[2015]No.3137).The main contents as follows:

The company has been approved to issue no more than 38,821,954 new shares. The

issue of shares should be strictly in accordance with the application documents

submitted to the CSRC. The approval will remain available in six months since the

date when it was granted. From the date of the approval of the issuance of the stock to

the end of the Issuance, if the company has major issues, Should be promptly reported

to the CSRC and deal with the relevant regulation.

The company will make arrangement on Non-Public Issuance of A Stocks according

to the approval and authorization of the general meeting of shareholders of the
