Undertaking related to the truth, accuracy and
completeness of materials provided
关于提供材料真实、准确、完整的承诺
As the counterparty in the major asset restructuring transaction to be
entered into by Shandong Delisi Food Co., Ltd. (“Major Asset Restructuring”), I
the undersigned hereby undertake the following in relation to the truth,
accuracy and completeness of all information provided:
作为山东得利斯食品股份有限公司拟进行的重大资产重组(以下简称“本次
重大资产重组”)的交易对方,现就本人所提供信息的真实性、准确性和完整性
郑重承诺如下:
I warrant, to my reasonable knowledge, that all copies or photocopies of
documents and materials provided by me in relation to the transaction are
identical to the original documents, the signatures and stamps on these
documents and materials are authentic, and the signatory on these documents
was legally authorised and effectively signed these documents; I warrant, to
my reasonable knowledge, that all materials and related information provided
about the transaction by me in material respects is true, accurate and
complete, and does not contain any false records, misleading statements or
major omissions, and I assume liability for the truth, accuracy and
completeness of these materials and related information.
本人根据本人合理所知,保证本人所提供的关于本次交易的全部文件资料的
副本或复印件与正本或原件一致,且该等文件资料的签字与印章都是真实的,该
等文件的签署人业经合法授权并有效签署该等文件;本人根据本人合理所知,保
证本人所提供的关于本次交易的一切材料和相关信息在重大方面均是真实、准确
和完整的,不存在任何虚假记载、误导性陈述或者重大遗漏,本人将对该等材料
和相关信息的真实、准确和完整性承担法律责任。
During the period of participating in the Major Asset Restructuring, I will,
as required by relevant laws, regulations, rules and all relevant stipulations of
the China Securities Regulatory Commission and the Shenzhen Stock
Exchange, at the reasonable request of Delisi, promptly reveal to Delisi
information related to the Major Asset Restructuring, and warrant, to my
reasonable knowledge, that this information in material respects is true,
accurate and complete, and does not contain any false records, misleading
statements or major omissions. If this undertaking is breached, I agree to
assume the corresponding legal liability.
在参与本次重大资产重组期间,本人将按照相关法律、法规、规章、中国证
监会和深圳证券交易所的有关规定所要求的且得利斯合理要求的,及时向得利斯
披露有关本次重大资产重组的信息,并根据本人合理所知,保证该等信息在重大
方面均是真实、准确和完整的,不存在虚假记载、误导性陈述或者重大遗漏。如
违反上述保证,本人愿意承担相应的法律责任。

As the counterparty in the major asset restructuring transaction to be
entered into by Shandong Delisi Food Co., Ltd. (“Major Asset Restructuring”), I
the undersigned hereby undertake the following in relation to the truth,
accuracy and completeness of all information provided:
作为山东得利斯食品股份有限公司拟进行的重大资产重组(以下简称“本次
重大资产重组”)的交易对方,现就本人所提供信息的真实性、准确性和完整性
郑重承诺如下:
The Promissee warrants, to its reasonable knowledge, that all copies or
photocopies of documents and materials provided by it in relation to the
transaction are identical to the original documents, the signatures and stamps
on these documents and materials are authentic, and the signatory on these
documents was legally authorised and effectively signed these documents;
The Promissee warrants, to its reasonable knowledge, that all materials and
related information provided about the transaction by it in material respects is
true, accurate and complete, and does not contain any false records,
misleading statements or major omissions, and The Promissee assumes
liability for the truth, accuracy and completeness of these materials and related
information.
承诺人根据其合理所知,保证其所提供的关于本次交易的全部文件资料的副
本或复印件与正本或原件一致,且该等文件资料的签字与印章都是真实的,该等
文件的签署人业经合法授权并有效签署该等文件;承诺人根据其合理所知,保证
其所提供的关于本次交易的一切材料和相关信息在重大方面均是真实、准确和完
整的,不存在任何虚假记载、误导性陈述或者重大遗漏,承诺人将对该等材料和
相关信息的真实、准确和完整性承担法律责任。
During the period of participating in the Major Asset Restructuring, The
Promissee will, as required by relevant laws, regulations, rules and all relevant
stipulations of the China Securities Regulatory Commission and the Shenzhen
Stock Exchange, at the reasonable request of Delisi, promptly reveal to Delisi
information related to the Major Asset Restructuring, and warrant, to its
reasonable knowledge, that this information in material respects is true,
accurate and complete, and does not contain any false records, misleading
statements or major omissions. If this undertaking is breached, The Promissee
agrees to assume the corresponding legal liability.
在参与本次重大资产重组期间,承诺人将按照相关法律、法规、规章、中国
证监会和深圳证券交易所的有关规定所要求的且得利斯合理要求的,及时向得利
斯披露有关本次重大资产重组的信息,并根据其合理所知,保证该等信息在重大
方面均是真实、准确和完整的,不存在虚假记载、误导性陈述或者重大遗漏。如
违反上述保证,承诺人愿意承担相应的法律责任。
